These Terms of Use and Community Guidelines ("Terms") govern access to and use of the Practice Pulse platform, applications, and related services (collectively, the "Platform") operated by Viddi Labs, LLC, a California limited liability company, doing business as Practice Pulse ("Provider," "we," "us").
IMPORTANT â SCHOOL USE CONTROLS: If a school or school district has entered into a Pilot Program Agreement, Data Privacy Agreement ("DPA"), or other written agreement with Provider (each, an "Institutional Agreement"), that Institutional Agreement governs the school's and its users' use of the Platform. In the event of any conflict, the Institutional Agreement controls.
By accessing or using the Platform, you agree to these Terms and the applicable Privacy Policy / DPA incorporated by reference. If you do not agree, you may not use the Platform.
These Terms are incorporated into and form part of any Institutional Agreement.
The Platform is intended solely for Kâ12 educational use. You may use the Platform only if:
For students under the age of thirteen (13), access to and use of the Platform is permitted only where the applicable School or School District has provided all required notices and obtained any required parental consent, or is authorized under applicable law to provide consent on behalf of parents or guardians for school-authorized educational use, in accordance with the Children's Online Privacy Protection Act ("COPPA").
Provider does not independently verify parental consent and relies entirely on the representations, authorizations, and compliance obligations of the applicable School or School District. Provider shall have no liability arising from any failure by a School or School District to obtain or maintain required parental consents.
Teachers / Staff: Accounts may be created only with School/District authorization.
Students: Students may access the Platform only through School-controlled invitation methods (e.g., access codes or links).
Use of a valid invitation or code constitutes evidence of School/District authorization.
Users are responsible for safeguarding credentials and all activity under their accounts. Provider may suspend accounts reasonably believed to be compromised.
Provider grants a limited, non-exclusive, revocable, non-transferable license to use the Platform solely for authorized educational purposes.

User Content must be appropriate for an educational environment and must not include:
All User Content is generated, submitted, and controlled by users acting under the supervision and authority of their School or School District. Provider does not create, direct, or control User Content and does not guarantee the accuracy, appropriateness, or educational suitability of any User Content.
Schools and School Districts remain solely responsible for ensuring that User Content complies with applicable laws, school policies, and safeguarding obligations, including obligations relating to minors.
Teachers are responsible for supervising student use, assigning age-appropriate content, and using moderation tools consistent with School/District policies.
Schools/Districts retain sole responsibility for student supervision, discipline, safeguarding, mandatory reporting obligations, and parent communications.
Provider may make available reporting, flagging, or moderation tools to assist Schools and School Districts in supervising user activity. Such tools are provided solely as optional aids and do not create any obligation for Provider to monitor, review, screen, investigate, or remove User Content or to enforce conduct standards.
Provider does not assume any duty of care, supervision, or safeguarding with respect to User Content or user conduct and does not replace or supplement the School or School District's independent responsibilities relating to student supervision, discipline, safeguarding, or mandatory reporting.
The Platform may include classroom-limited social features such as feeds, reactions, comments, or achievements. Visibility is limited to authorized school groups as configured by teachers or administrators.
Provider does not guarantee that social or collaborative features will be available, uninterrupted, or free from user misconduct. Schools are solely responsible for determining whether and how such features are enabled and for supervising student interactions within school-authorized groups.
Teachers may optionally include links to third-party resources. Provider does not control third-party content or data practices and is not responsible for external sites.
All Platform software, design, and trademarks are owned by Provider or its licensors.
Users retain ownership of their original User Content, subject to School/District policies. Users grant Provider a limited license to host, store, process, and display User Content solely to operate and secure the Platform.
Copyright complaints may be submitted to help@joinpracticepulse.com. Provider may remove allegedly infringing content where appropriate.
Collection and use of information is governed by the applicable Privacy Policy / DPA. In summary:
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," INCLUDING ANY PILOT, BETA, OR PRE-RELEASE FEATURES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
PROVIDER DOES NOT WARRANT THAT THE PLATFORM WILL MEET ANY SPECIFIC EDUCATIONAL, SAFETY, OR COMPLIANCE REQUIREMENTS OF ANY SCHOOL, DISTRICT, OR REGULATORY BODY, OR THAT USE OF THE PLATFORM WILL RESULT IN ANY PARTICULAR EDUCATIONAL OUTCOME.
Where an Institutional Agreement applies, the limitation of liability provisions in that agreement govern exclusively.
To the maximum extent permitted by law, Provider's total aggregate liability arising out of or relating to the Platform or these Terms shall not exceed the greater of one thousand dollars ($1,000) or the amounts paid to Provider in the twelve (12) months preceding the event giving rise to the claim.
In no event shall Provider be liable for indirect, incidental, special, punitive, or consequential damages, including loss of data, loss of educational opportunity, or claims arising from User Content or user conduct.
To the maximum extent permitted by law, users, Schools, and School Districts agree to indemnify, defend, and hold harmless Provider from and against any third-party claims, damages, liabilities, and expenses arising out of or relating to (i) User Content, (ii) failure to obtain required consents, (iii) violation of applicable law or School/School District policies, or (iv) user conduct.
Where an Institutional Agreement applies, indemnification obligations are governed exclusively by that agreement.
Provider may suspend or terminate access where use violates these Terms or poses security, legal, or student-safety risks. Schools may request account deactivation consistent with the Privacy Policy / DPA.
Provider may suspend access immediately where necessary to address security risks, legal exposure, or student-safety concerns, without prior notice where reasonably necessary.
Provider may update these Terms from time to time. Material changes will be communicated to Schools/Districts where required.
For School/District use, governing law is defined in the applicable Institutional Agreement. Otherwise, these Terms are governed by California law, excluding conflict-of-law principles.
